Zastąpią dotychczas obowiązujące przepisy prawne, a są to:

Ustawa - Prawo działalności gospodarczej z dnia 19 listopada 1999 r. [Dz. U. nr 101, poz. 1178 z późn. zm.], która uchyli przepisy dotychczas obowiązującej ustawy o działalności gospodarczej z 1988 r. oraz ustawy o spółkach z udziałem zagranicznym z 1991 r.;
Ustawa o Krajowym Rejestrze Sądowym z dnia 20 sierpnia 1997 r. [Dz. U. nr 121, poz. 769 z późn. zm.] oraz ustawa – Przepisy wprowadzające ustawę o Krajowym Rejestrze Sądowym z 20 sierpnia 1997 r. [Dz. U. nr 121, poz. 770]; uchylają one dotychczasowe przepisy dotyczące rejestru handlowego i postępowania rejestrowego z 1934 r.;
Kodeks Spółek Handlowych z dnia 15 września 2000 r. [Dz. U. nr 94, poz. 1037], który zastąpi dotychczasowy kodeks handlowy z 1934 r.
